Optim360 Hosting Service Agreement / Terms and Conditions

Optim360 Hosting commits to providing its application hosting services to the customer. In return, the customer agrees to remit payment to Optim360 Hosting for the usage of services as specified in the placed order.

Optim360 Hosting extends to its customers remote access to its data center through inbound Internet connectivity. This access enables customers to interact with their data and various hosted software applications provided by Optim360 Hosting or licensed to the customer. The software and applications available to the customer are detailed in the attached order.

Maintaining the integrity, security, and confidentiality of critical customer information is a paramount commitment at Optim360 Hosting.

Credit card details provided by users are securely stored in our database, employing encryption measures equivalent to those used by leading banking and financial institutions. Specifically, CC details are stored on a PCI Compliant, Level 1 DSS certified payment mechanism, ensuring the utmost security.

Optim360 Hosting utilizes an advanced automatic payment processing system based on the user’s billing cycle (Monthly/Quarterly/Half-Yearly/Annually). However, a manual payment system can be arranged by mutual agreement, requiring users to make timely payments for the services used. Failure to adhere to the billing cycle may result in service discontinuation.

While disseminating information through the Internet, customers should be aware that Optim360 Hosting does not review, edit, censor, or take responsibility for any information created by its customers. Users bear the same liability as other authors for copyright infringement, defamation, and other harmful speech.

Customers are prohibited from engaging in certain activities that violate Optim360 Hosting’s policy and service agreement, including:

  • Spamming: Sending unsolicited bulk and/or commercial messages over the Internet.
  • Obscene Speech or Materials: Using Optim360 Hosting’s network for child pornography or obscene speech or material.
  • Facilitating a Violation of this AUP: Advertising or transmitting software, products, or services designed to violate this policy.
  • Export Control Violations: Exporting encryption software over the Internet or otherwise outside the United States.
  • Intellectual Property Violations: Engaging in activities that infringe on the intellectual property rights of others.


Engaging in any of the prohibited activities may result in a violation of Optim360 Hosting’s policy and service agreement, leading to appropriate action being taken by Optim360 Hosting.

User Acceptance Policy

At Optim360 Hosting, we are steadfast in our commitment to preserving the integrity, security, and confidentiality of crucial information belonging to our esteemed customers. As a dedicated accounting software hosting provider, we adhere to the highest standards of security to ensure that all customer data is stored in a secure environment, accessible solely by authorized users. It is crucial to acknowledge that user information held by Optim360 Hosting may experience intermittent access due to various issues related to software, hardware, or Internet connectivity.

Intermittent access or delayed response may also arise from deliberate malicious actions or acts of nature. Users expressly agree to absolve and indemnify Optim360 Hosting from any and all liability for losses or damages incurred due to situations arising from interrupted access to client data.

 

Optim360 Hosting recognizes the Internet as a platform for free and open discussion worldwide, facilitating the dissemination of information. However, in cases where conflicting interests arise, Optim360 Hosting retains the right to take preventive or corrective actions. To safeguard these interests, Optim360 Hosting has formulated an Acceptable Use Policy (“AUP”), complementing and elucidating specific terms in each customer’s respective service agreement. This policy serves as a guide to customers’ rights and obligations when utilizing Optim360 Hosting’s services. The AUP undergoes periodic revisions, and a customer’s continued use of Optim360 Hosting’s services post any changes to the AUP, as published on Optim360 Hosting’s website,WEBSITE HYPERLINK, implies the customer’s acceptance of any new or additional terms resulting from those modifications.

 

Renewal Term and Termination Conditions

The Effective Date of this agreement shall commence on the first day when Customers’ “user profiles” are activated and made available for use on the Optim360 Hosting Service. This agreement shall remain in full force and effect for an initial Term of one (1) month from the Effective Date. Customer reserves the right to terminate the service at any time by providing a written notice to EMAIL OF THE COMPANY, with a minimum of 15 days’ notice.

For Custom/Private Cloud environments, this User Acceptance Policy agreement will automatically renew for one (1) month unless either party terminates it. Termination requires written notice to the other party before the expiration of the initial Term or any successive Term. Upon termination of Services by Customer or termination of service by Optim360 Hosting, all Customer data will be expunged from the active file systems of the terminal servers of Optim360 Hosting, and any archived data will be overwritten.

In the event of account termination by Optim360 Hosting, the Customer has the option to retain and back up their data on Optim360 Hosting terminal servers for a duration of 7 days only. Time and materials charges apply to any search from terminated Service accounts of the customers. Requests for data search or recovery will only be accepted from the previously authorized administrative contact for the Customer account.

No Warranties

This agreement becomes effective on the initial day when Customers’ “user profiles” are activated for use on the Optim360 Hosting Service and remains in force for an initial Term of one (1) month from the Effective Date. The Customer has the right to terminate the service at any time by providing a written notice to EMAIL OF THE COMPANY, with a minimum of 15 days’ notice.

Limitation on Liability

Optim360 Hosting will not be liable for any damages, including, but not limited to, incidental or consequential damages and damages for lost data or profits, even if Optim360 Hosting has been advised of the possibility of such damages.

Acknowledging that many customers are providers of Internet services themselves, Optim360 Hosting recognizes that information reaching its facilities may originate from customers of its customers or other third parties. Optim360 Hosting does not mandate customers offering Internet services to monitor or censor transmissions or websites created by their customers.

While Optim360 Hosting retains the right to take direct action against a customer of a customer, Optim360 Hosting may also take action against the Optim360 Hosting customer due to the activities of a customer of the customer, even if the action impacts other customers of the customer.

Optim360 Hosting will not intentionally monitor private electronic mail messages sent or received by its customers unless required to do so by law, governmental authority, or when public safety is at stake. However, Optim360 Hosting may electronically monitor its service to ensure satisfactory operation of its facilities. Ultimately, Optim360 Hosting may disclose customer information or information transmitted over its network when necessary to protect Optim360 Hosting and others from harm or to ensure the proper operation of the system.

Agreement with User Acceptance Policy

Upon submitting any application hosting services order through this website, whether directly or indirectly to Optim360 Hosting, you affirm that you are an authorized representative of your organization. By doing so, you express your intention to enter into an Application Hosting Services Agreement with Optim360 Hosting, adhering to the terms and conditions outlined above.
